1. Introduction
Welcome to OPENLATER (“Open Later,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our website and services that let you compose emails and schedule them for future delivery (the “Service”). By using the Service, you agree to these Terms.
2. Eligibility
- You must be at least 13 years old to use the Service.
- If you are under 18, you represent you have permission from a parent or legal guardian.
- You may use the Service only if you can form a binding contract and are not barred from doing so by applicable U.S. law.
3. Accounts & Security
- Provide accurate registration information and keep your credentials confidential.
- You are responsible for all activity that occurs under your account.
- Notify us promptly of any unauthorized access or security incident.
- We may suspend or terminate accounts that violate these Terms or pose risk to the Service or others.
4. Description of the Service
- Compose emails to yourself and, if you choose, to additional recipients.
- Schedule delivery dates/times and manage scheduled/sent messages.
No delivery guarantee: We strive for timely delivery, but exact timing and successful delivery are not guaranteed due to networks, recipient servers, spam filtering, and other factors outside our control.
5. Your Content & Permissions
You retain ownership of the content you submit (“User Content”). You grant OPENLATERa non-exclusive, worldwide, royalty-free license to host, process, and transmit your User Content solely to operate and improve the Service.
- You are responsible for your User Content and for having all rights and permissions to send it to any recipients you add.
- Do not send sensitive data (e.g., PHI/medical data, payment card numbers, SSNs, or other highly sensitive information) through the Service.
6. Email Acceptable Use
- Follow all applicable U.S. laws, including CAN-SPAM for any messages that could be considered commercial.
- No spam or unsolicited bulk messages. Only send to recipients who have consented to receive your message.
- No harassment, threats, hateful or obscene content, malware, or phishing.
- No impersonation or misrepresentation of identity or affiliation.
7. Prohibited Activities
- Using the Service for unlawful purposes.
- Attempting unauthorized access to accounts, systems, or data.
- Interfering with or disrupting the Service or related networks.
- Using automated means that impair or abuse the Service.
8. Service Changes
We may modify, suspend, or discontinue the Service or any feature at any time. We may impose reasonable limits on use to protect the Service. We are not liable for such changes.
9. Privacy
Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and share information.
10. Third-Party Services (Analytics Only)
We use Google Analytics to help us understand Service usage. Your use of the Service is subject to Google's terms and policies for Analytics. We do not control third-party services and are not responsible for their content or practices.
11. Intellectual Property
OPENLATERowns the Service and all associated software, interfaces, and branding, excluding your User Content. These Terms do not grant you rights to our trademarks, logos, or other brand features.
12. Termination
We may suspend or terminate your access if you violate these Terms or as needed to protect the Service or others. You may request account deletion at support@openlater.email. Sections that by their nature survive termination (e.g., IP, disclaimers, limitations of liability, indemnity) will survive.
13. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY GUARANTEE OF TIMELY OR SUCCESSFUL EMAIL DELIVERY.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENLATERAND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED $100 OR THE AMOUNT YOU PAID (IF ANY) DURING THE THREE (3) MONTHS BEFORE THE CLAIM AROSE, WHICHEVER IS GREATER.
15. Indemnification
You agree to defend, indemnify, and hold harmless OPENLATERand its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your User Content, (b) your use of the Service, or (c) your violation of these Terms or applicable law (including CAN-SPAM).
16. Governing Law & Venue
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-laws principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Gwinnett County, Georgia.
17. Changes to Terms
We may update these Terms from time to time. If we make material changes, we will post the updated Terms and update the “Last updated” date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
18. Severability
If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force.
